1. Who you are contracting with

Holdfast is a brand operated by [ENTITY], a limited liability company organized under the laws of Virginia ("we", "us", "Holdfast"). These Terms govern your use of the holdfastlevels.com website and any Holdfast software you download, purchase, or install.

By purchasing, downloading, or using any Holdfast software, you agree to these Terms. If you do not agree, do not install or use the software.

Payments are processed by Lemon Squeezy, which acts as the merchant of record for all purchases. Lemon Squeezy is the seller of record on your invoice and its own terms apply to the payment transaction. Your license to use the software is granted by us under these Terms.

2. Your license

On purchase, we grant you a non-exclusive, non-transferable, revocable license to install and use the purchased software for your own trading and analysis, for as long as your purchase remains in good standing.

You are buying a license to use the software. You are not buying the software itself, and no ownership transfers to you.

What the license covers

• Installation on up to two machines that you control (see section 4).
• Use on any instrument, any data feed, and any number of charts on those machines.
• Use in connection with accounts you trade, including proprietary-firm accounts, provided you are the person using the software.

3. What you may not do

You may not:

• Share, resell, sublicense, rent, lend, or redistribute the software or your license key.
• Decompile, disassemble, reverse-engineer, or attempt to derive the source code of any protected build.
• Circumvent, disable, remove, or interfere with the license validation in the software, or assist anyone else in doing so.
• Publish, distribute, or make available any modified version of the software.
• Remove or alter any copyright, trademark, or attribution notice.
• Use the software to build, train, or improve a competing product.
• Use the software in a manner that violates your data vendor's, broker's, or trading platform's own terms.

These restrictions do not apply to the free tools to the extent described in section 5, and nothing here purports to restrict any right you have that cannot be excluded under applicable law.

4. Activations and machines

Each paid license key permits two simultaneous machine activations. A desktop and a laptop is the intended use.

You can release an activation yourself from the license page linked in your purchase email, which frees the slot for a new machine. We do not need to be involved when you replace a computer.

Where a license covers more than one product — such as The Stack bundle — the same key is used for every included product and this consumes a single activation per machine, not one per product.

Repeatedly cycling activations in a pattern consistent with sharing a key between people, rather than moving between your own machines, is a breach of section 3 and may result in the key being disabled.

5. The free tools

The free tools listed on holdfastlevels.com are provided free of charge, with no license key and no expiry. You may keep and use them indefinitely, including alongside competing software, and we will not withdraw that.

They are provided on the same "as is" basis as everything else (sections 9 and 10 apply in full), and the restrictions in section 3 on redistribution, resale, and passing the work off as your own still apply. You may not repackage or sell them.

We may stop distributing or updating them at any time. That does not affect any copy you already have.

6. Subscriptions, renewal, and cancellation

Subscription licenses renew automatically at the interval you selected until canceled. You can cancel at any time from the link in your purchase email or by contacting us.

Cancellation takes effect at the end of your current paid period. You keep access until then; the license key stops validating when the period ends, and the software stops rendering.

Lifetime licenses do not renew and do not expire.

We may change the price of future subscription periods. If we do, we will give you notice before the change takes effect, and you may cancel rather than accept it. Price changes never apply retroactively to a period you have already paid for, and never apply to an existing lifetime license.

7. Third-party requirements

Holdfast software runs inside NinjaTrader 8, which you must obtain and license separately. We are not affiliated with NinjaTrader Group, LLC.

Holdfast Liquidity Levels additionally requires an order-by-order (MBO) market depth feed, which you must purchase separately from a data vendor. This is stated on the product page, in the documentation, and on our market data page before purchase. We do not sell market data, we receive nothing from any data vendor, and we cannot obtain, restore, or troubleshoot your data entitlement.

You are responsible for the cost, availability, and correct configuration of your platform, data feed, and broker connection. Software not working because you lack the required data feed is not a defect, though it may still qualify for a refund under our refund policy.

8. Not investment advice

Holdfast software is chart-analysis software. It displays and characterizes order-book and price data. It does not provide investment advice, trading signals, or recommendations, and it does not place, manage, or execute orders.

We are not a registered investment adviser, broker-dealer, commodity trading advisor, commodity pool operator, or futures commission merchant, and nothing we publish should be treated as personalized advice. Every trading decision you make is yours alone.

9. Warranties and disclaimers

We build this software carefully and trade it ourselves. We are telling you plainly what we can and cannot promise about it.

The software is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by law.

In particular, we do not warrant that:

• The software will be uninterrupted, error-free, or free of defects.
• Market data reaching the software is accurate, complete, or timely — that data comes from your vendor, not from us.
• Any level, state, verdict, or other output is accurate, or predictive of any future price movement.
• Use of the software will be profitable or will avoid losses.

Market depth is not stored historically. Levels build only from the live feed while the software is running. This is a property of the data, not a limitation we can remove.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent permitted, and you may have rights that these Terms cannot limit.

10. Limitation of liability

To the fullest extent permitted by law, we are not liable for any trading losses, lost profits, lost opportunity, lost data, business interruption, or any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the software or these Terms, regardless of the theory of liability and even if we have been advised of the possibility.

Our total aggregate liability to you for all claims relating to the software or these Terms is limited to the amount you actually paid us for the software in the twelve months preceding the claim. For the free tools, that amount is zero.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

11. Intellectual property

All software, source code, documentation, website content, wordmarks, and product names — including Holdfast, Liquidity Levels, Tide, Grip, and ATR Band — are owned by [ENTITY] and protected by copyright and other laws. Nothing in these Terms transfers any of it to you.

Third-party marks referenced on this site, including NinjaTrader, Rithmic, CME Group, and any proprietary trading firm named, belong to their respective owners and are used descriptively only. Their use does not imply affiliation or endorsement in either direction.

12. Termination

You may stop using the software at any time and uninstall it.

We may suspend or terminate your license if you materially breach these Terms — in practice, that means sharing or reselling your key, or tampering with the license validation. Where the breach is capable of being fixed and appears inadvertent, we will contact you first and give you a reasonable chance to fix it.

Your license also ends if your subscription lapses or your purchase is refunded or charged back. On termination for any reason, your rights under section 2 end and you must stop using and uninstall the software. Sections 3, 9, 10, 11, and 14 survive termination.

13. Changes to these terms

We may update these Terms. The effective date at the top of this page always shows the current version.

For changes that materially reduce your rights, we will give notice — by email to purchasers, and by a notice on this site — at least 30 days before they take effect. If you do not accept a material change, your remedy is to cancel your subscription before it takes effect; for a lifetime license, contact us and we will discuss it. Continuing to use the software after a change takes effect means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Virginia.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you the protection of your local courts and mandatory consumer rules, nothing above deprives you of that protection. You may bring proceedings in your country of residence, and the mandatory consumer-protection law of that country applies to the extent it is more favorable to you.

Before starting formal proceedings, please email us. Almost everything is faster to resolve directly.

If any provision of these Terms is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, Refund Policy, and Risk Disclosure, are the entire agreement between us regarding the software.
